OUR CORPORATE GOVERNANCE

Corporate Governance in GMC is designed to build trust, transparency, and accountability for fostering long-term investment, financial stability, and business integrity. This supports stronger growth and a more inclusive work environment.

The Leadership of GMC develops and implements corporate strategy and operates the company’s business with oversight from the board of directors, with the goal of producing sustainable long-term value creation.

Our Key Stakeholders, including our employees, the surrounding communities, and  regulators, play a key part in our corporate governance, in line with our code of conduct

OUR GOVERNANCE PHILOSOPHY

Our approach to governance is rooted in responsibility, ethical conduct, and a clear separation of powers. We maintain robust oversight systems that align with global best practices while staying true to our local context.

KEY GOVERNANCE PRINCIPLES

  • Transparency: We provide clear and timely information to stakeholders and regulatory bodies.
  • Accountability: Defines roles, responsibilities, and performance metrics to ensure every manager and department is answerable for decisions and outcomes.
  • Fairness: We champion diversity and equal opportunity throughout our company structure.
  • Responsiveness: Our leadership operates with agility, consistently engaging with employees, communities, and other stakeholders to meet emerging needs.

GOVERNANCE STRUCTURE

Our governance structure is the foundation of how we operate; it ensures that every decision we make aligns with our values, regulatory standards, and long-term vision. In an industry as high-impact and regulated as mining, strong governance is not optional; it is essential.

01.

Board of Directors

Our Board of Directors is responsible for providing independent oversight and strategic direction to the company. They ensure that all mining operations, investments, and partnerships align with our commitment to ethical conduct, risk mitigation, and sustainability.

02.

Executive Management Team

The Executive Team leads the day-to-day operations and translates the Board’s strategy into action. They are responsible for implementing policies, driving innovation, and ensuring safe, efficient, and lawful mining practices across all our sites.

ETHICS AND CODE OF CONDUCT

Our commitment to ethics is deeply embedded in the way we operate, from the mine site to the boardroom. As a responsible mining company, we recognize that the nature of our industry requires the highest standards of integrity, accountability, and social responsibility. Our code of conduct guides our people to do the right thing, even when no one is watching.

What Our Code Stands For

  • Zero Tolerance for Corruption: We do not tolerate bribery, facilitation payments, or any form of corruption. All business dealings must be lawful, fair, and transparent.
  • Respect for Land and Communities: We honor the rights of local communities and indigenous groups. We engage with transparency and seek free, prior, and informed consent where applicable.
  • Environmental Responsibility: Ethical mining means protecting ecosystems. All employees and contractors are expected to comply with environmental laws, minimize waste, and report violations immediately.
  • Fair Labor and Human Rights: Forced labor, child labor, discrimination, and harassment are strictly prohibited. We promote a safe, inclusive, and respectful workplace for all.
  • Confidentiality and Information Security: In an increasingly digital mining environment, protecting sensitive data, from exploration results to employee records, is a shared responsibility.

Ethics in Action: On the Ground and Underground

Whether in exploration, drilling, processing, or reclamation, our ethical standards apply across every phase of the mining lifecycle:

  • Health & Safety First: Workers are trained to operate under safe, regulated conditions. Reporting hazards is encourage and protected.
  • Supply Chain Integrity: We source responsibly and expect our suppliers to uphold the same ethical standards outlined in our Supplier Code of Conduct.
  • Whistleblower Protection: Employees can report unethical behavior anonymously through secure internal channels, without fear of retaliation.
GMC Our Story

Ethical mining is not just a policy, it's our promise.

We believe that how we mine is just as important as what we mine. That's how we protect our people, preserve the environment, and earn the trust of our host communities.
